1. General

These Terms of Use (hereinafter: "Terms") govern the relationship between Stroka produkt d.o.o., Koroška cesta 61a, 2360 Radlje ob Dravi, Slovenia (hereinafter: "Provider") and any company or individual who accesses or uses the Signature 365 service (hereinafter: "Customer").

By registering an account, submitting a DEMO access request, placing an order, or using the service in any way, the Customer confirms that they have read and accepted these Terms and that they have the authority to enter into binding contracts on behalf of the entity they represent.

2. Definitions

Service means the Signature 365 platform for centralized management, design, and distribution of email signatures, including all updates introduced by the Provider over time.
DEMO Access means free, non-binding trial access to the Service for a period of up to 14 days, granted on the basis of a completed request and set up manually by the Provider.
Order means a purchase order, confirmed quote, or other document by which the Customer orders a paid subscription to the Service.
Subscription means paid, recurring access to the Service for a specified billing period.
Customer Data means all content, files, configurations, personal data, and other materials entered into the Service by the Customer or its users.
Administrative User means a person authorized by the Customer to manage the Service on its behalf.
User means any individual who accesses the Service or is involved in its operation (e.g. employees whose signatures are managed).

3. DEMO Access

The Provider offers free DEMO access to the Service for a period of up to 14 days. DEMO access is granted on the basis of a completed form on the Signature 365 website. Upon receipt of the request, the Provider sets up access manually and notifies the Customer.

DEMO access is intended solely for testing and evaluating the suitability of the Service for the Customer's needs. During DEMO access, the Customer is entitled to:

  • access to the admin portal and a preview of the email signature,
  • a customized demo signature for the Customer's company,
  • professional support from the Provider's team during setup and testing.

The Provider reserves the right to restrict or terminate DEMO access at any time, particularly in cases of suspected misuse or violation of these Terms.

DEMO access does not automatically extend upon expiry. Continued use is subject to the submission of an Order, a confirmed quote, and payment of a subscription fee.

4. Subscription and Payment

A paid subscription is activated upon submission of an Order and a confirmed quote. Prices are determined based on the number of active users, as specified in the applicable price list or confirmed quote.

All prices are in euros (EUR) and exclusive of VAT, unless explicitly stated otherwise. The Customer is responsible for paying all taxes and duties arising from the use of the Service.

The Service is intended exclusively for legal entities and sole traders (B2B). By submitting an Order, the Customer confirms that it orders the Service in the course of its business activity and not as a consumer.

The Customer undertakes to provide true, accurate and complete company details when ordering, including its legal name, registered address and VAT identification number, and confirms that it is authorised to represent that company. The Customer shall notify the Provider of any change to these details without delay.

The Provider verifies the validity of the VAT identification number through the VIES system or the competent tax authority. Such verification only confirms that the number is valid and does not mean that the Provider assumes responsibility for the accuracy of the details provided by the Customer. Where the reverse charge mechanism applies, the Customer is solely responsible for accounting for and paying VAT in its country of establishment.

If the Customer's details prove to be untrue or incomplete, or the VAT identification number is invalid or does not belong to the Customer, the Provider may charge VAT at the applicable rate on all invoices already issued and future invoices, request additional payment from the Customer, and suspend access to the Service or terminate the Subscription. The Customer shall reimburse the Provider for all taxes, interest, penalties and other costs incurred as a result of untrue or incomplete details. The Provider may at any time request proof of the Customer's company or VAT registration.

The subscription is billed monthly or annually, depending on the selected billing cycle. The subscription renews automatically for the same billing period unless the Customer cancels it in a timely manner.

Invoices are issued electronically. The Customer agrees to receive invoices electronically. Payment is due on the date indicated on the invoice.

In the event of late payment, the Provider reserves the right to:

  • temporarily restrict or suspend access to the Service,
  • charge statutory default interest,
  • terminate the subscription following written notice.

For annual subscriptions, the Provider will notify the Customer of any price change at least 30 days before the start of the new billing period.

5. Customer Obligations and Responsibilities

The Customer warrants that:

  • it has the right and authority to enter into these Terms,
  • it will use the Service only for lawful purposes and in accordance with these Terms,
  • it will promptly notify the Provider of any unauthorized use or security incident,
  • it will ensure the accuracy and currency of data entered into the Service,
  • it is responsible for all activities and content conducted through its accounts.

The Customer must not:

  • resell, lease, or otherwise transfer the Service to third parties without the Provider's written consent,
  • attempt to obtain the source code of the Service through reverse engineering, disassembly, or other methods,
  • use the Service to build competing products or services,
  • carry out attacks on the Service's infrastructure (e.g. DDoS, unauthorized access),
  • introduce into the Service any content that is unlawful, harmful, misleading, or that infringes the rights of third parties.

6. Intellectual Property Rights

The Service, including all software, interfaces, documentation, trademarks, and other materials of the Provider, is and remains the exclusive property of the Provider and its licensors.

The Customer acquires no ownership rights over the Service. The Provider grants the Customer a limited, non-exclusive, non-transferable license to access and use the Service for internal business purposes during the term of the Subscription.

The Customer retains all rights to Customer Data. The Customer grants the Provider a limited license to process Customer Data solely for the purpose of providing the Service.

All feedback, suggestions, or ideas submitted by the Customer to the Provider in connection with the Service become the property of the Provider, unless the parties agree otherwise in writing.

7. Personal Data Protection

The Provider processes the personal data of the Customer and its employees in accordance with applicable legislation, in particular the General Data Protection Regulation (GDPR – Regulation (EU) 2016/679) and Slovenian law.

The processing of personal data carried out by the Provider on behalf of the Customer is governed by a Data Processing Agreement (DPA), which forms an integral part of this relationship.

Details regarding the processing of personal data are set out in the Privacy Policy, available on the Provider's website.

Stroka produkt d.o.o. holds an ISO/IEC 27001 certification for information security management and ensures appropriate technical and organizational measures for data protection.

8. Confidentiality

Each party undertakes to protect the other party's confidential information with the same degree of care as it protects its own confidential information, but at least with reasonable care, and not to disclose it to third parties without written consent.

"Confidential Information" means all information marked as confidential or which, by its nature and the circumstances of its disclosure, is to be considered confidential (trade secrets, technical data, pricing, customer information, etc.).

The confidentiality obligation does not apply to information that has become publicly known through no fault of the recipient, that was lawfully known to the recipient prior to disclosure, or that was independently developed by the recipient.

This section remains in force even after the termination or expiry of these Terms.

9. Limitation of Liability

The Service is provided "as is" and "as available." The Provider does not warrant that the Service will be error-free, uninterrupted, or always accessible.

The Provider is not liable for indirect, incidental, special, or consequential damages, including lost revenue, lost data, or business interruption.

The Provider's total liability for all damages arising from these Terms or the use of the Service is limited to the total amount paid by the Customer to the Provider in the 12 months preceding the damage event, with a minimum of EUR 500.

During DEMO access, the Provider's total liability is limited to EUR 500.

10. Force Majeure

The Provider is not liable for any delay or failure to perform obligations resulting from circumstances beyond its reasonable control (e.g. natural disasters, war, cyberattacks, failure of third-party services, government action, epidemics).

11. Term and Termination

These Terms are effective from the moment of registration or establishment of DEMO access.

The Customer may cancel the Subscription at any time by providing notice through the Service portal or by email. Cancellation takes effect at the end of the current billing period. Amounts already paid are non-refundable.

The Provider reserves the right to immediately suspend access in the event of:

  • a material breach of these Terms by the Customer,
  • non-payment following written notice,
  • a request by a competent authority or applicable law,
  • provision of untrue or misleading information about the Customer's identity or tax status.

The Provider may terminate the Subscription with 30 days' written notice without stating a reason. In such a case, the Customer will receive a pro-rata refund for the unused period.

Upon termination of these Terms, the Customer immediately ceases use of the Service and all elements derived from it (licenses, access). The Provider will permanently delete or return Customer Data within 30 days of termination, unless retention is required by law.

12. Changes to the Terms

The Provider reserves the right to amend these Terms. Customers will be notified of material changes at least 14 days in advance via email or a notice in the portal.

Continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

13. General Provisions

These Terms, together with the Privacy Policy, DPA, and any applicable Order, constitute the entire agreement between the parties regarding the subject matter of this relationship and supersede all prior agreements.

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

The Customer may not transfer its rights or obligations under these Terms without the prior written consent of the Provider.

Any failure to enforce a right does not constitute a waiver of that right.
